The One-Way Letter of Intent: Half Releases at Twenty Actions

The One-Way Letter of Intent is one of Larry’s cleanest ways to de-risk a deal.

The buyer commits to a list of actions, not just a vague yes.

Say the list has thirty-five actions they agree to complete.

Half the money releases once they finish the first twenty.

The rest follows when the list is done.

It is one-way because you are the one making the promise binding, not them.

That asymmetry is what makes a nervous buyer comfortable.

Their risk stays low while their commitment stays real.

It pairs with the reverse rebate and the internal escrow as a family of tools.

All three exist to remove fear without lowering the price.

Deals die from fear far more often than from price.

Structure the fear out, and the yes gets a lot easier.
